Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of DDingDong’s website, software-as-a-service dashboard, customer-facing bell experience (including QR/NFC flows), and any hardware products or test devices we provide (collectively, the “Services”).
Please read these Terms carefully, as they affect your rights and obligations. By accessing or using any part of the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

1. Definitions and Scope
- Website means our public site and marketing pages.
- Dashboard means the manager/administrator web application that requires an account.
- Customer Bell Experience means the QR/NFC or similar flows customers use to request service without creating an account.
- Hardware means any physical devices we supply or loan to you for use with the Services.
2. Eligibility and Accounts
You must be at least the age of majority in your jurisdiction and able to form a binding contract to use the Dashboard. You agree to provide accurate registration information, maintain the security of your credentials, and promptly notify us of any suspected compromise.
Customers may access the Customer Bell Experience without creating an account. Venue managers are responsible for informing customers about any data capture occurring at the venue.
3. Acceptable Use
- Do not attempt to access the Services using methods other than our provided interfaces.
- Do not reverse engineer, decompile, or otherwise attempt to extract source code except as permitted by law.
- Do not use the Services to violate any law or third-party rights, or to transmit harmful code or spam.
- Do not interfere with or disrupt the integrity, performance, or security of the Services.
4. Subscriptions, Fees, and Billing
If you purchase a subscription or paid add-ons, you agree to pay all applicable fees, taxes, and charges in accordance with the pricing and billing terms presented to you. Unless stated otherwise, subscriptions renew automatically until canceled. You authorize us and our payment processors to charge your payment method on a recurring basis.
Free trials and promotions may be offered from time to time and are subject to additional terms. We may change prices upon prior notice. If you do not agree with a change, you may cancel before the next billing cycle.
- Failed Payments & Late Fees: If a charge is declined or an invoice is overdue, we may suspend or downgrade access until payment is received. You are responsible for any bank fees, chargeback fees, and reasonable collections costs.
- Refunds: Except where required by law or expressly stated otherwise, subscription fees are non-refundable and non-creditable, including for partial periods. Hardware refunds, if offered, are governed by the applicable return policy for that product.
5. Hardware Terms
- Orders & Delivery: Lead times and shipping estimates are not guarantees. Risk of loss transfers to you upon our delivery to the carrier unless otherwise agreed in writing.
- Installation: You are responsible for proper setup and configuration unless installation services are expressly included.
- Warranty & RMA: Hardware may include a limited warranty as described in the documentation that accompanies the product. Misuse, accidents, modifications, or non-DDingDong accessories void the warranty. For eligible claims, we may repair, replace, or refund at our discretion.
- Except as expressly provided, Hardware is provided “as is” and we disclaim all other warranties to the fullest extent permitted by law.
- Ownership: Hardware may be sold (title passes upon full payment) or loaned/rented (title remains with DDingDong) as specified in your order or agreement.
- Loaned/Demo Returns: Loaned or demo Hardware must be returned at your expense within fourteen (14) days after the earlier of request by DDingDong or termination/expiration of the applicable trial or agreement, in good condition (ordinary wear and tear excepted). You are responsible for loss or damage prior to our receipt.
- Venue Infrastructure: Except where we expressly provide installation services, you are solely responsible for venue-side electrical power, cabling, mounting, internet connectivity, Wi‑Fi coverage, firewall policies, and network security.
6. Availability and Support
We aim for high availability but do not guarantee uninterrupted operation. Planned maintenance or unexpected outages may occur. Certain plans may include priority support as described at the time of purchase.
You are responsible for local network reliability and third-party services or devices used with the Services.
7. Data, Privacy, and Security
We process data in accordance with our Privacy Policy. By using the Services, you consent to such processing. Venue managers must ensure compliance with applicable data protection laws when capturing or exporting customer data.
For customer data collected at your venue, you act as the data controller and DDingDong acts as a data processor under GDPR-style frameworks, processing such data on your documented instructions. A data processing addendum (DPA) may be made available upon request.
We may collect service and usage analytics that are aggregated and/or anonymized to improve performance, reliability, and features. These analytics do not identify individuals and are handled as described in our Privacy Policy.

8. Intellectual Property and Confidentiality
We retain all rights, title, and interest in and to the Services and our content, including software, designs, trademarks, and know-how. You receive a limited, non-exclusive, non-transferable license to access and use the Services during your subscription in accordance with these Terms.
Any non-public information shared by either party should be treated as confidential and used only for the purpose of performing under these Terms.
9. Feedback, Third-Party Services, and Beta Features
- Feedback: If you provide suggestions or ideas, you grant us a royalty-free, worldwide, transferable license to use them without restriction.
- Third-Party Services: Integrations or links to third-party services are subject to those providers’ terms. We are not responsible for third-party services.
- Beta/Pre-release: We may offer features marked as beta or experimental. They are provided “as is,” may change, and may be discontinued at any time.
10. Compliance and Safety
You are responsible for ensuring that your use of the Services complies with applicable laws and venue-specific requirements, including signage or customer notifications where required. Do not use Hardware in unsafe environments or in a manner that could cause harm.
11. Term, Suspension, and Termination
We may suspend or terminate your access if you breach these Terms, if your account is delinquent, or to prevent harm or liability. You may cancel your subscription at any time per your plan settings; cancellations take effect at the end of the current billing cycle.
Upon termination, your right to access the Services ceases. Certain provisions that by their nature should survive termination will survive (e.g., IP, confidentiality, disclaimers, limitations of liability, indemnity, and governing law).
12. Disclaimers
Except as expressly provided, the Services and any Hardware are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant the operation of third-party networks, devices, accessories, or integrations, nor damage resulting from their misuse or incompatibility.
13. Limitation of Liability
To the maximum extent permitted by law, DDingDong will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or data, even if advised of the possibility of such damages.
Our aggregate liability for any claim arising out of or relating to the Services will not exceed the amounts paid by you to us for the Services in the twelve (12) months preceding the event giving rise to the claim.
The foregoing limitations do not apply to liability that cannot be limited under applicable law, or to damages resulting from our intentional misconduct or gross negligence. We are not responsible for damage to Hardware caused by third-party misuse, unauthorized modifications, or integration with non‑DDingDong systems.
14. Indemnification
You agree to defend, indemnify, and hold harmless DDingDong and its affiliates, and their respective officers, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your use of the Services or violation of these Terms.
15. Governing Law and Dispute Resolution
Before initiating formal proceedings, the parties will attempt in good faith to resolve any dispute by providing written notice and engaging in informal discussions for thirty (30) days.
These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles. The state and federal courts located in Delaware will have exclusive jurisdiction over any dispute arising from or relating to these Terms or the Services, and the parties consent to personal jurisdiction and venue in those courts.
16. Export Controls and Sanctions
You may not use or access the Services if you are located in, or are a resident of, a territory subject to comprehensive sanctions, or otherwise prohibited under applicable export control or sanctions laws.
17. Changes to These Terms
We may modify these Terms from time to time. Material changes will be communicated via the Dashboard, our Website, or email. We may require you to re-accept materially updated Terms before continuing use. Your continued use of the Services after the effective date of an update constitutes acceptance of the revised Terms.
